Client Responsibilities

You agree to:

• Payment: Make timely payments as outlined in our payment terms.
• Provide Accurate Information: Submit accurate and complete information necessary for us to deliver our services.
• Cooperate: Collaborate with us in a timely manner and provide feedback and approvals as requested.

Payment Terms

• Fees: Fees for our services are stated in the proposal or agreement. Any additional work beyond the initial agreement will be billed separately.
• Invoices: Invoices will be issued upon completion of milestones or at regular intervals as specified. Payment is due on the invoice date unless otherwise agreed.
• Late Payments: A late fee of 2% per month may be applied to overdue invoices. We reserve the right to suspend services until outstanding payments are settled.

Intellectual Property

• Ownership: Upon full payment, you will own the final design deliverables. We retain the right to showcase project materials in our portfolio and for marketing purposes unless otherwise agreed.
• Licensing: We grant you a non-exclusive, non-transferable license to use the deliverables for the purposes stated in the agreement. You may not resell or redistribute the deliverables without prior written consent.
• Third-Party Materials: Any third-party materials used in the project will be licensed to you or used under fair use provisions. It is your responsibility to comply with third-party licenses.

Confidentiality

Both parties agree to keep any confidential information exchanged during the project confidential and not disclose it to any third party without prior written consent, except as required by law.

Termination

• By Client: You may terminate the agreement with written notice. You are responsible for payment of all work completed up to the termination date.
• By Us: We may terminate the agreement if you breach these Terms or fail to meet your obligations. Written notice will be provided, and you are responsible for payment of work completed up to the termination date.

Defamation and Irrelevant Chargebacks

Upon project completion, Vara Lakshmi reserves the right to pursue legal action and access client information in the event of unwarranted or irrelevant chargebacks or defamatory statements about our brand. We may also suspend ongoing work until such matters are resolved.

Prohibition of Inappropriate Content

Posting or transmitting illegal, false, misleading, defamatory, offensive, obscene, or otherwise objectionable content is strictly prohibited. By using our services, you agree not to engage in or facilitate such conduct.

Disclaimer

Our website and its contents are provided “as is,” without any express or implied warranties. Vara Lakshmi disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of Liability

Our liability for any claim arising out of or related to our services is limited to the amount paid by you for the specific services giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages.

Dispute Resolution

Disputes arising from these Terms or our services will be resolved through mediation or arbitration, as agreed upon, within the federal judiciary of Canada. Both parties agree to make a reasonable effort to resolve disputes amicably before proceeding to formal resolution.

Amendments

We reserve the right to amend these Terms at any time. You will be notified of significant changes. Continued use of our services after such changes constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the federal laws of Canada, without regard to conflict of law principles.
